Terms of Service

These Terms of Service ("Terms") govern your use of Foundry Online (the "Service"), a hosting platform for Foundry Virtual Tabletop operated by us ("we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms, our Privacy Policy, and our Refund Policy. If you serve as a Support Staff Member, you are also bound by the Support Staff Agreement.

1. Service Description

Foundry Online provides cloud hosting for Foundry Virtual Tabletop instances. We provision isolated containers, persistent storage, SFTP access, and automated backups. We do not provide the Foundry VTT software itself.You must own a valid Foundry VTT license from Foundry Gaming, LLC, purchased separately from foundryvtt.com.

2. Account Registration

You can sign in using any of three methods: Google OAuth, Discord OAuth, or email and password. Local (email + password) accounts must verify their email address before signing in for the first time. When you sign in via multiple methods using the same verified email, your accounts are automatically linked into one record.

You are responsible for:

  • Maintaining the security of the credentials you use to sign in (Google, Discord, or local password)
  • All activity that occurs under your account
  • Keeping the email address on file current so we can deliver billing notifications, password resets, and security alerts
  • Owning your own valid Foundry VTT license — see §4 below

3. Acceptable Use

You agree NOT to use the Service to:

  • Host, store, or distribute illegal content
  • Violate intellectual property rights, including pirated game assets, modules, or rule books
  • Distribute malware, viruses, or harmful code
  • Attempt to gain unauthorized access to our systems, other users' data, or other users' Foundry instances
  • Abuse, harass, or threaten other users or our staff
  • Engage in cryptocurrency mining or other CPU/GPU-abusive workloads not related to running a tabletop game
  • Resell or sublicense your hosted instance to third parties as a hosting service
  • Circumvent plan limits, security measures, rate limits, or storage quotas
  • Use the Service to send unsolicited bulk email or otherwise spam third parties

We enforce per-IP and per-account rate limits on our public APIs (sign-in, sign-up, password reset, support submissions, and others) to protect the platform from abuse. Exceeding these limits results in temporary 429 responses; repeated abuse may result in suspension under §10.

Violation of these rules may result in immediate suspension or termination of your account, without notice and without refund.

4. Foundry VTT License Compliance

Foundry Virtual Tabletop is a separate product owned by Foundry Gaming, LLC. You must purchase your own Foundry VTT license directly from foundryvtt.com.

We do not collect, store, or process your Foundry VTT license key. When your container starts, Foundry itself prompts you to enter your license key directly into the Foundry interface; the key is stored by Foundry inside your container's data directory and we have no visibility into it.

You are solely responsible for complying with the Foundry VTT End User License Agreement. We are not responsible for any license-compliance issues between you and Foundry Gaming, LLC. If Foundry suspends or revokes your license for any reason, you remain responsible for paying our hosting fees until you cancel your subscription with us separately.

5. Payment and Billing

5.1 Subscription fees

Access to the Service requires a paid subscription. Current pricing is displayed on our Plans page. Fees are billed in advance on a recurring monthly basis through Stripe or PayPal, depending on which checkout flow you choose.

5.2 Automatic renewal

Your subscription automatically renews at the end of each billing cycle until you cancel. You authorize Stripe or PayPal to charge your payment method at each renewal. You can cancel at any time from your /accountsettings.

5.3 Plan changes

You can change plans (upgrade or downgrade) at any time from the server settings page. For Stripe subscriptions, Stripe automatically prorates the change on your next invoice — upgrading adds a charge for the remainder of the current period, and downgrading credits you for the unused portion. PayPal subscriptions cannot be changed mid-cycle; if you want to switch plans on a PayPal subscription, you must cancel and create a new subscription with the desired plan.

5.4 Failed payments and grace period

If a scheduled payment fails (declined card, expired card, insufficient funds, etc.), we will:

  1. Mark your subscription as being in a 7-day grace period starting from the failed-payment date
  2. Send you an email with a link to update your payment method via the Stripe customer portal (Stripe subscriptions) or via PayPal directly
  3. Continue running your server normally during the grace period — you can still play and access your data

If the underlying payment processor's retry attempts fail throughout the grace period, the subscription is automatically cancelled and the server is stopped. Note: this 7-day grace period is separate and unrelatedto the 7-day money-back guarantee in our Refund Policy.

5.5 Price changes

We may change pricing at any time. Existing subscribers will be notified by email at least 30 daysbefore any price increase takes effect. If you do not wish to accept the new price, you can cancel before it applies.

6. Storage Limits and Quota Enforcement

Each plan includes a storage quota (Basic: 5 GB, Default: 15 GB, Pro: 40 GB). When your usage exceeds your plan limit:

  • Your currently running server is not killed; you can continue using it for the rest of the session
  • However, your server will not start the next time you (or the idle detector) try to start it, until you either delete files via SFTP or upgrade to a higher plan
  • The dashboard will show a clear "storage limit exceeded" error explaining what to do

You remain responsible for managing your storage usage. We do not delete files on your behalf, and we do not send proactive low-quota warnings.

7. Service Availability and Idle Shutdown

We strive for high availability but do not guarantee uninterrupted service. Scheduled maintenance, third-party processor outages, network issues at our hosting provider, or other unforeseen events may cause downtime.

To save resources and keep prices low, your server automatically shuts down when idle. The idle timeout depends on your plan:

  • Basic — 15 minutes after the last connection
  • Default — 30 minutes after the last connection
  • Pro — 60 minutes after the last connection

You (and your players, if they have shared access) can restart the server at any time from the dashboard. The first start of the day takes a few seconds. This automatic shutdown is a feature, not a defect.

8. Backups

We perform automated backups according to your plan and store them in a Google Drive Shared Drive owned by us:

  • Basic — weekly scheduled backups, 7 retained
  • Default — nightly scheduled backups, 7 retained
  • Pro — nightly scheduled + on-demand backups, 14 retained

You can trigger an on-demand backup from the dashboard at any time (rate-limited to once per 10 minutes). Restores are user-initiated from the dashboard. While we take reasonable care to keep backups intact, we strongly recommend you maintain your own copies of critical world data. We are not liable for data loss caused by backup failure, restore failure, or any other technical issue. See §11 for the full liability disclaimer.

9. Referral Program

We operate an opt-in referral program. Every account is automatically issued a unique referral code visible in the Account page. If a new customer signs up via your referral link, they receive a 10% discounton their subscription for as long as they remain subscribed, and you earn a commission on their payments:

  • 15% of their first month's net payment
  • 5% of every subsequent month's net payment, for as long as they stay subscribed

Commissions are calculated from the post-discount amount actually charged. They are paid via PayPal Payouts once your accumulated balance reaches a minimum of $100 USD; below that threshold, balance carries forward.

Refund clawback: If a referred customer is refunded, the corresponding commission is clawed back from your pending balance (or from the next period if the original commission was already paid out). Pro-rata clawback applies to partial refunds.

Self-referral is prohibited. You may not use your own referral code to sign up. Multi-account abuse, bot-driven sign-ups, and any other attempt to game the program will result in forfeiture of all unpaid commissions, removal from the program, and possibly account termination.

We may modify, suspend, or terminate the referral program at any time. Existing accumulated commissions will be paid out under the rules in effect when they were earned, except in cases of fraud.

10. Suspension and Termination

10.1 Cancellation by you

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period; you can continue to use the Service until that period ends. After cancellation, your data is retained for 30 days to allow easy reactivation, then permanently deleted.

10.2 Suspension by us

We may suspend your account at any time, with or without notice, if we reasonably believe you have violated these Terms or are causing harm to the Service or other users. Suspension is reversible: your data is preserved and your subscription continues to bill. You may contact us to dispute the suspension and request reinstatement.

10.3 Termination by us

We may terminate your account at any time, with or without notice, for cause including (but not limited to):

  • Material violation of these Terms or the Acceptable Use rules in §3
  • Repeated failed payments after the grace period
  • Activity that threatens our infrastructure, other users, or our hosting provider
  • Fraudulent referral activity
  • Chargebacks initiated against us without first attempting resolution under §6 of the Refund Policy

Termination ends your subscription, deletes your servers, and removes your account from our systems. No refund is issued for terminations resulting from a violation of these Terms.

10.4 Self-service deletion

You can delete your account at any time using the "Delete My Account" button on your /account page. Self-service deletion cancels all subscriptions, deletes all servers, removes all backups, and erases your account data within 24 hours. Billing records are retained as required by tax law.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT ANY DATA WILL BE PRESERVED INDEFINITELY.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, LOSS OF PROFITS, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages, in which case the above limits apply only to the extent permitted by applicable law.

13. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, expenses, or losses (including reasonable attorney's fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

14. Governing Law

[PLACEHOLDER: governing law clause to be finalized before launch] — These Terms are intended to be governed by the laws of the jurisdiction in which the business operating Foundry Online is legally established, without regard to its conflict-of-law provisions. The exact jurisdiction and venue for disputes will be specified here once the business entity is finalized; this version is a placeholder pending legal review. Any disputes shall be resolved in the courts of that jurisdiction, except where applicable consumer protection law mandates a different forum.

15. Changes to These Terms

We may modify these Terms from time to time. Material changes will be notified to active users by email at least 30 days before they take effect. Non-material changes (typo fixes, clarifications) may be made without notice. The "Last updated" date at the top of this page is always current. Your continued use of the Service after changes take effect constitutes acceptance.

16. Disclaimer of Affiliation

Foundry Online is an independent hosting service and is not affiliated with, endorsed by, or sponsored by Foundry Gaming, LLC. "Foundry VTT" and "Foundry Virtual Tabletop" are trademarks of Foundry Gaming, LLC. We use the names solely to identify the software our service hosts, as permitted by nominative fair use.
